Terms of Service (Terms of Use)

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of Notes (the “Service”) provided by Netintui Systems LTD (“we”, “us”, “our”). By using or accessing the Service, you agree to these Terms. If you disagree with any part, you must stop using the Service.

2. Definitions

• User, you, your: the individual or entity using the Service.
• Content: any notes, text, images, attachments, or data you create, upload, or store in the Service.
• Account: your user account with credentials to access the Service.
• Service: the software, applications, website, APIs, and related features that together are provided as Notes.

3. Eligibility

You must be at least 13 to use the Service. By using the Service, you represent you have the right and capacity to enter into these Terms.

4. Account Registration & Security

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to notify us immediately of any unauthorized use or security breach.
• We may suspend or terminate accounts that are inactive for prolonged periods (at least 12 months), or violate these Terms.

5. User Content & Ownership

• You retain ownership of your Content.
• By uploading or submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, display, and transmit that Content as necessary to provide the Service.
• We do not claim ownership over your Content.
• You are solely responsible for the accuracy, legality, and appropriateness of your Content.

6. Acceptable Use & Prohibited Conduct

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Infringe others’ intellectual property rights;
• Transmit viruses, malware, or harmful code;
• Interfere with or degrade the Service (e.g. overloading, hacking);
• Use the Service to harass, defame, or threaten others;
• Collect or store personal data of others without consent;
• Access the Service in unauthorized ways.

We reserve the right to remove or refuse access to any Content that violates these Terms.

7. Payment, Subscriptions & Cancellation (if applicable)

If you purchase a premium plan, buy Snack or subscription:

• You agree to pay the fees as set forth at checkout.
• Subscriptions may auto-renew unless canceled in advance.
• You may cancel at any time; refunds (if any) will follow the refund policy.
• We reserve the right to change pricing; we will notify you in advance.

8. Suspension & Termination

• We may suspend or terminate your access to the Service for violations of these Terms or for other reasons (e.g. security, law).
• On termination, your right to use the Service ceases immediately.
• We may delete or archive your Content following termination; we are not obligated to retain it indefinitely.

9. Disclaimers & Warranties

• The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied.
• We do not guarantee the Service will be uninterrupted, error-free, or secure.
• We disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will we be liable for:

• Any indirect, incidental, special, punitive, or consequential damages;
• Loss of profits, data, goodwill, or business interruption;
• Even if we were advised of the possibility of such damages.

Our total liability to you for all claims is limited to the amount you paid in the last 12 months.

11. Indemnification

You agree to indemnify, defend, and hold harmless Netintui Systems LTD and its officers, directors, employees, agents, from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service or violation of these Terms.

12. Modifications to Terms

We may revise these Terms at any time. We’ll provide notice (e.g. via email or in-app). Continued use after modifications means you accept the new Terms. You should check these Terms periodically.

13. Dispute Resolution & Governing Law

• These Terms are governed by the laws of Federal Republic of Nigeria.
• Any dispute shall be resolved in the federal or state courts located in Lagos State, Nigeria, and you consent to personal jurisdiction and waive any objection as to inconvenient forum.
• You and we each waive the right to a jury trial (if permitted by law).

14. Miscellaneous

• If a provision is held invalid, the remainder remains in force.
• These Terms, along with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• No waiver of any term is a further waiver.
• You may not assign these Terms without our consent.
